Terms of Service

1. Who these terms are with

These terms are an agreement between you and StackForge Labs, LLC, which operates Apex Directive. By creating an account you accept them. If you are accepting on behalf of a company, you are confirming you may bind that company.

2. What the service does

Apex Directive sends your code or documents to several large language models at once, each with a different reviewing persona, merges what they find into one ranked list of issues, and lets you discuss and dismiss those issues before producing a final report.

3. Accounts

You need a confirmed email address. You are responsible for what happens under your account and for keeping your password to yourself. Accounts are for one person; if you need several people on one plan, get in touch, because we do not support that yet.

You must be old enough to enter a contract where you live.

4. Plans, payment and the allowance

Billing

Plans are billed monthly or annually in advance through Stripe. Annual plans are charged at ten months' price. Your subscription renews automatically until you cancel.

What an allowance is

Every paid plan includes a fair-use allowance of model usage. The app shows this as reviews remaining rather than as a balance of money or tokens, because the number of reviews is the thing you are actually deciding with.

The allowance is generous relative to normal use, and it exists to stop one account consuming what everyone else has paid for. Reviews vary in cost, and a large codebase costs more to review than a single file, so the number remaining moves at different speeds. When it runs out you can buy a top-up or move to a larger plan; we will not bill you for overage you did not choose.

The trial

New accounts get a 7-day trial with a small allowance. One trial per account. There is no free tier after it, and we do not intend to add one.

Cancelling and refunds

Cancel any time from the billing screen. You keep access until the end of the period you have already paid for, and we do not prorate a refund for time you did not use.

If the service was materially broken for you and we could not fix it, write to billing@apexdirective.dev. We would rather refund you than argue.

Price changes

We may change prices. If we do, we will give you at least 30 days' notice by email, and the new price applies from your next renewal, never retroactively, and never inside a period you have already paid for.

5. Bringing your own keys

On the BYOK plan you supply your own provider API keys and pay those providers directly for model usage. Your subscription pays for Apex Directive itself.

Two consequences follow, and they are yours rather than ours: what those providers charge you is between you and them, and if a key is missing, invalid, or out of quota, reviews that need it will be refused. We will always tell you which provider is the problem.

6. Who owns what

You keep all rights to the code and documents you submit, and to the review output produced about them. We claim no ownership of either.

You grant us only the narrow permission needed to run the service: to transmit your content to the model providers on your panel and to return their responses to you, for as long as your review session is open. That permission ends when the session does. As set out in the Privacy policy, we do not retain your content and we do not use it to train models.

We keep ownership of Apex Directive itself: the software, the interface and the brand.

7. What you agree not to do

• Submit content you have no right to submit.
• Use the service to build a competing product, or to generate training data for a model.
• Work around the allowance, the rate limits or the billing. Sharing one account across a team included.
• Attack the service or attempt to reach another account's data. (Good faith security research is welcome; see the Privacy page for where to send it.)
• Use it to produce malware, or anything unlawful where you are.

We may suspend an account that is doing these things. Where it is reasonable to, we will tell you first.

8. What the reviews are, and are not

Reviews are generated by language models. They are frequently useful and they are sometimes confidently wrong. They may miss real problems and they may raise issues that are not problems at all.

Apex Directive is a second opinion, not an audit, and not a substitute for your own engineering judgement, testing, or a security review by a qualified person. You are responsible for anything you ship. Do not treat a clean review as evidence that code is correct or secure.

9. Availability

We aim to keep the service up, but we do not offer a service level agreement. It depends on model providers who have their own outages, rate limits and deprecations, and when one of them is down, part of the panel is down with it. Where we can, we run the review with the seats that remain and tell you which one is missing.

10. Warranties and liability

The service is provided "as is", without warranties of any kind, to the fullest extent the law allows.

To the extent permitted by law, our total liability to you for any claim relating to the service is limited to what you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses, including lost profits, lost data, or the cost of substitute services.

Some jurisdictions do not allow these limits. Where that is the case, they do not apply to you and the law where you live governs instead.

11. Ending the agreement

You may close your account at any time. We may end this agreement if you materially breach these terms, or with 30 days' notice if we discontinue the service, in which case we will refund the unused part of what you have paid.

12. Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email before they take effect. Continuing to use the service after that means you accept the new terms.

13. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. Nothing here removes a consumer protection you have where you live.
